To register as an investment adviser in California, a firm managing less than $100 million in assets files Form ADV electronically through the Investment Adviser Registration Depository (IARD), pays a $125 application fee to the Department of Financial Protection and Innovation (DFPI), and waits for the DFPI to affirmatively grant the certificate before advising clients. The California investment adviser registration requirements also cover exam qualifications for every person who gives advice, minimum net worth for firms that hold custody or trade with discretion, separate registration of each adviser representative, and ongoing renewals and amendments once the firm is licensed.
State or Federal: Where Your Firm Registers
The threshold is $100 million in assets under management. Firms below that line register with California through the DFPI. Firms at $100 million or more register with the SEC.1Department of Financial Protection and Innovation. State Licensed Investment Adviser
Between $100 million and $110 million, a firm may choose either regulator. SEC registration becomes mandatory once AUM crosses $110 million.2eCFR. 17 CFR 275.203A-1 – Eligibility for SEC Registration; Switching to or From SEC Registration
An SEC-registered adviser does not hold a California license, but cannot serve California clients without a notice filing with the DFPI. The notice goes through IARD within 30 days of doing business in the state, costs $125, expires every December 31, and must be renewed with another $125 payment.3Department of Financial Protection and Innovation. Who Does Not Have to Register
California excludes several groups from the definition of investment adviser when their advisory work is incidental to their primary business:4California Legislative Information. California Corporations Code 25009
- Attorneys and CPAs whose advice is incidental to their practice.
- Banks, savings and loan associations, and trust companies.
- Licensed broker-dealers whose advisory services are incidental to brokerage and who take no separate compensation for the advice.
- Newspapers, news magazines, and financial publications of general and paid circulation, so long as they do not otherwise operate as advisers.
“Incidental” is the operative word. An accountant who begins charging separately to manage a portfolio has stepped outside the exclusion and needs to register.
There is also a de minimis exemption for advisers based outside California. If your firm has no physical office in the state and had fewer than six California-resident clients during the preceding 12 months, you do not need to register. Certain institutional clients, including other registered advisers, broker-dealers, banks, insurance companies, and government agencies, do not count toward the six-client limit.5California Legislative Information. Exam and Qualification Requirements
The firm’s principal and every individual who provides advice must show competence through an exam. California accepts two paths:6Legal Information Institute. California Code of Regulations Title 10 260.236 – Qualifications of Investment Advisers and Investment Adviser Representatives
- The Series 65 (Uniform Investment Adviser Law Examination) on its own.
- The Series 7 (General Securities Representative Examination) combined with the Series 66 (Uniform Combined State Law Examination).
The exam must have been passed within two years before the application date, or before the individual begins working as a representative.
California waives the exam for people who currently hold one of the following designations in good standing: Chartered Financial Analyst (CFA), Certified Financial Planner (CFP), Chartered Financial Consultant (ChFC), Chartered Investment Counselor (CIC), or Personal Financial Specialist (PFS). If the designation lapses, the waiver disappears and the individual must sit for the exam before continuing to advise.
Minimum Net Worth
California imposes financial thresholds that scale with how much control the firm has over client assets, and the firm must maintain the applicable level continuously:7Department of Financial Protection and Innovation. Investment Adviser Minimum Financial and Reporting Requirements
- $35,000 if the firm has custody of client funds or securities.
- $10,000 if the firm has discretionary trading authority but not custody.
- Positive net worth if the firm accepts prepayment of more than $500 per client six or more months in advance.
Firms that only give non-discretionary advice, take no custody, and collect no large prepayments face no specific floor, though the DFPI can still examine their financial condition. Any firm subject to a minimum must also file an annual financial report, described below.
Filing With the DFPI
All registration runs through IARD, the electronic filing system managed by FINRA.8Securities and Exchange Commission. Electronic Filing for Investment Advisers on IARD Getting the steps out of order will stall the application.
Start by opening an IARD entitlement account for the firm. Fund the Flex-Funding Account with enough to cover the $125 filing fee plus any representative fees; IARD pulls the money when filings are submitted.
Then complete and file Form ADV. Part 1 captures the firm’s ownership, business model, affiliations, client types, and disciplinary history. Part 1B adds state-specific information. Part 2 is the firm’s client-facing brochure, written in narrative form, describing services, fees, conflicts, strategies, and custodian selection; every prospective client must receive it before or at the time they sign an advisory agreement.9Securities and Exchange Commission. The $125 application fee is non-refundable.10Department of Financial Protection and Innovation. Instructions for Completing and Filing Application for Investment Adviser Certificate on Form ADV Submitting Form ADV does not make you registered. The DFPI must affirmatively grant the certificate. Operating before that approval arrives violates California Corporations Code section 25230.
Registering Each Adviser Representative
Every person at the firm who gives advice, makes recommendations, manages accounts, or decides what analysis to publish must be individually registered as an Investment Adviser Representative (IAR). This applies whether the firm is state-registered or SEC-registered with a California notice filing.11California Legislative Information. California Corporations Code 25230.1
The firm files Form U4 for each representative through the Central Registration Depository (CRD) system.12IARD. Before filing the U4, the firm must conduct a reasonable investigation into the individual’s character, business reputation, and qualifications. Evidence of the Series 65 (or the Series 7 plus 66 combination, or a qualifying professional designation) must be on file. Keep documentation of both the qualification and the background investigation in the firm’s records.
What You Have to Do After You Are Registered
Registration is not a one-time event. The DFPI expects ongoing filings, prompt disclosure of changes, financial reporting, and continuing education.
Annual Renewal
The firm’s registration expires December 31 each year. Pay the $125 renewal through IARD before the deadline. IARD closes for several days at year-end to process renewals, so submit early. Annual and Interim ADV Amendments
File an annual updating amendment to Form ADV within 90 days after the end of your fiscal year, refreshing AUM, ownership, and any other details that changed.14Securities and Exchange Commission. Form ADV – General Instructions
You cannot wait for the annual update when something material changes mid-year. Form ADV requires “other-than-annual” amendments filed promptly for changes to business address, new disciplinary events, ownership changes, and material updates to the client brochure. Any change to an IAR’s status, employment, or disciplinary record likewise requires a prompt Form U4 amendment.
Annual Financial Report
If the firm is subject to a minimum net worth, it must file an annual financial report with the DFPI within 90 days of fiscal year-end. The report must include a balance sheet and income statement prepared under generally accepted accounting principles.7Department of Financial Protection and Innovation. Continuing Education
California adopted NASAA’s IAR continuing education rule, effective May 2024. Every registered IAR must complete 12 NASAA-approved credits each calendar year before December 31: six on products and practice, six on ethics and professional responsibility.15Department of Financial Protection and Innovation. Investment Adviser Representative Continuing Education (IAR CE) The obligation sits with the individual, but the firm bears practical responsibility for tracking compliance. An IAR who misses the credits puts their registration at risk, and the firm may face scrutiny for allowing an unqualified person to advise clients.
Books and Records
California requires every licensed investment adviser to keep detailed books and records covering the advisory business. That includes all client contracts, written communications sent and received relating to recommendations or transactions, and a memorandum of every purchase or sale order given on behalf of a client.16Legal Information Institute. California firms should treat that as the minimum retention period and verify current DFPI guidance, since state requirements may differ.
