What Goes Wrong If You’re Not Available

The consequences of a missing or unreachable resident agent escalate quickly.

If a process server tries to deliver a complaint at your registered address and can’t find you, Maryland court rules allow substitute service through SDAT after two failed attempts on separate days. SDAT can also be served directly if your business has no resident agent on file or the listed agent is no longer at the address. Once SDAT accepts service on your behalf, the response clock starts whether or not you know about the case.

Miss the response window and the court can enter a default judgment. That means the plaintiff’s claims are accepted as true and damages are awarded without your side ever being heard, which can include monetary awards and permanent injunctions.

Separately, a business without an active resident agent falls out of good standing with Maryland. The Privacy Cost of Using Your Home Address

Maryland’s business entity database is freely searchable online. Whatever address you list becomes part of the public record, which means customers, competitors, data brokers, and solicitors can all pull it up.

For a home-based business, that address is your front door. Third-party directories scrape state filings, so even if you switch to a commercial address later, cached copies of older listings can keep circulating. Process servers show up wherever the current record says to go.

When Hiring a Professional Makes More Sense

Being your own agent works well if you keep regular hours at a consistent Maryland location. It works less well in a few common situations:
