Every Delaware C corporation has to file an annual report and pay franchise tax to the Delaware Division of Corporations by March 1 each year. The Delaware C corp annual report is filed online, covers basic corporate information as of the filing date, and drives the franchise tax calculation. Miss the deadline and the state adds a $200 penalty plus 1.5% monthly interest; ignore it for a full year and Delaware voids the charter.
What Goes on the Report
Section 502 of Title 8 of the Delaware Code requires every active domestic corporation to file the report with the Secretary of State on or before March 1 for the prior year.1Justia. - The name and Delaware street address of your registered agent, who must be available during business hours to accept legal documents.2Delaware Code Online. Delaware Code Title 8 – Registered Office and Registered Agent
- The principal place of business, meaning the street address where the corporation actually operates. This can’t match the registered agent’s Delaware address unless the corporation genuinely maintains its principal office in Delaware and serves as its own registered agent.1Justia. - Names and addresses of all directors as of the filing date.
- The name, address, and title of the officer signing the report.
- A description of the nature of the business. Delaware now requires this on all domestic annual reports.3Delaware Division of Corporations. Annual Report and Tax Instructions
- Stock information: total authorized shares, issued shares, and par value for each class. These figures drive the franchise tax.

How the Franchise Tax Is Calculated
Delaware offers two calculation methods and defaults to the more expensive one if you don’t actively choose otherwise. The gap between them can be tens of thousands of dollars for a startup with a large share authorization.
Authorized Shares Method (the default)
Under this method, the tax is based only on how many shares your certificate of incorporation authorizes:4Delaware Division of Corporations. How to Calculate Franchise Taxes
- 5,000 shares or fewer: $175 (the minimum tax)
- 5,001 to 10,000 shares: $250
- Each additional 10,000 shares or portion thereof: add $85
- Maximum: $200,000
A corporation that authorized 10 million shares to make room for future funding would owe roughly $85,000 under this method. Authorizing shares costs nothing at incorporation, but the franchise tax bill arrives every year after.5Justia. Delaware Code 503 – Rates and Computation of Franchise Tax
Assumed Par Value Capital Method
Most corporations with large authorizations but modest assets pay far less under this method. It factors in issued shares and total gross assets, then taxes the resulting “assumed par value capital” at $400 per million dollars (or fraction thereof).4Delaware Division of Corporations. - Divide total gross assets by total issued shares to get the assumed par.
- For each class of authorized shares with a par value below the assumed par, multiply authorized shares by the assumed par.
- For each class with a par value at or above the assumed par, multiply authorized shares by actual par value.
- Add those figures for the assumed par value capital.
- Divide by $1,000,000 (rounding up) and multiply by $400.
The minimum under this method is $400 and the maximum is $200,000.5Justia. The online system defaults to Authorized Shares. To use Assumed Par Value Capital, you have to enter your issued shares and total gross assets in the fields provided. Skip those and Delaware calculates on authorized shares alone.5Justia. Delaware Code 503 – Rates and Computation of Franchise Tax
Large Corporate Filers
A different rule applies to publicly traded corporations of a certain size. Corporations with stock listed on a national securities exchange pay a flat $250,000 annual franchise tax if consolidated annual gross revenues or consolidated assets reach $750 million, provided neither figure falls below $250 million.6Division of Revenue – State of Delaware. Deadlines and Quarterly Estimates
The report and full tax payment are due by March 1 for the prior year. Everything is filed online.3Delaware Division of Corporations. Annual Report and Tax Instructions
If your franchise tax runs $5,000 or more, you can’t wait until March 1. Delaware requires estimated installments during the tax year itself:7Delaware Division of Corporations. Annual Report and Tax Information
- June 1: 40% of the estimated annual tax
- September 1: 20%
- December 1: 20%
- March 1 of the following year: remaining balance, filed with the annual report
These are separate from federal C corp estimated tax payments, which follow the IRS’s own quarterly calendar.
Filing the Report Online
Filing happens through the Delaware Division of Corporations’ online portal. You log in with your Business Entity File Number. The system pre-fills some information from prior filings, but you’re responsible for verifying every field before you submit.
After you enter or confirm the corporate details and stock information, the system calculates the tax. To use the Assumed Par Value Capital Method, enter issued shares and total gross assets before letting the system run the calculation. Delaware doesn’t accept paper filings and doesn’t send paper reminders. The confirmation receipt after submission is your proof of compliance, so keep it.
Late Filing Penalties
Miss March 1 and Delaware immediately adds a $200 penalty to the franchise tax balance, plus 1.5% monthly interest on the combined unpaid amount.3Delaware Division of Corporations. Annual Report and Tax Instructions Interest compounds quickly on larger balances.
Fail to file or pay for a full year and Section 510 of Title 8 kicks in. The Secretary of State voids the charter, and all powers conferred on the corporation become inoperative.8Justia. Delaware Code 8-510 – Failure to Pay Tax or File a Complete Annual Report for 1 Year; Charter Void; Extension of Time A voided corporation cannot do business, enter contracts, or pursue litigation. Delaware courts have held that a corporation voided under Section 510 does not automatically get a wind-down period and has no power to litigate remaining claims.
Before voidance actually happens, the Secretary of State can grant an extension for good cause, but only if the corporation asks. Once the charter is void, extension is off the table.
Reviving a Voided Charter
Reinstatement runs through Section 312 of Title 8. You file a certificate of revival with the Secretary of State containing the corporation’s original incorporation date, registered agent information, and the date the charter was voided.9Justia. Then you pay. All franchise taxes, penalties, and interest owed at the time of voidance must be cleared. If the charter has been void for more than five years, you owe three times the taxes and penalties that would otherwise be due.9Justia. Delaware Code 312 – Revival of Certificate of Incorporation Every year of delay adds both to the underlying balance and, eventually, to the multiplier.
Fixing an Error After Filing
Section 103 of Title 8 handles corrections. You file a certificate of correction that identifies the inaccuracy and sets out the corrected portion, or you file a complete corrected version of the original instrument clearly labeled as a corrected filing in its heading.10FindLaw. A correction takes effect as of the original filing date, except that anyone substantially and adversely affected by the correction gets the benefit of the corrected version only from its actual filing date. If the mistake was in your stock information, expect the franchise tax to recalculate. Depending on which way the numbers move, you may owe more or be entitled to a refund, so verify stock figures carefully before you submit a correction.
