Delaware LLC Doing Business in Florida: Registration and Taxes

A Delaware LLC doing business in Florida must register with the Florida Division of Corporations as a foreign LLC and obtain a Certificate of Authority before it starts operating in the state. Florida law prohibits any out-of-state LLC from transacting business without that authorization, and the penalties range from civil fines to losing the ability to sue in Florida courts. The filing itself is not complicated. The harder parts are figuring out whether your activities cross the line into “transacting business,” handling Florida’s separate tax registrations, and keeping both your Delaware and Florida filings alive year after year.

When Your Delaware LLC Has to Register in Florida

Florida requires a Certificate of Authority when a foreign LLC engages in a continuous, systematic course of business in the state. The clearest triggers:

  • Operating an office, warehouse, retail store, or other physical location in Florida.
  • Employing Florida-based workers who regularly make sales, provide services, or run business operations in the state.
  • Owning income-producing property in Florida. The statute calls this out specifically.

That third one catches people off guard. Simply owning a Florida property does not require registration on its own. The moment the property starts generating rental income or other revenue, your LLC has crossed the line.2The Florida Legislature. Activities That Do Not Count

Florida lists specific safe harbors that do not amount to transacting business, even though they involve some Florida contact:2The Florida Legislature. Florida Code 605.0905 – Activities Not Constituting Transacting Business

  • Defending or maintaining a lawsuit already brought against you (initiating a suit is different, and requires authority).
  • Holding a Florida bank account or borrowing money secured by Florida property.
  • Completing an isolated transaction within 30 days that is not part of a pattern of similar deals.
  • Soliciting orders from Florida customers when the orders must be accepted outside the state before becoming binding.
  • Owning Florida real or personal property passively, without using it to generate income.
  • Selling through unaffiliated independent contractors.
  • Conducting interstate commerce that merely flows through Florida.

The statute makes clear the list is not exhaustive; other activities of a similar character may also fall outside the requirement. The genuinely ambiguous case is a single remote employee. If they handle purely internal tasks, that looks different from a worker making sales or managing client relationships in Florida. The nature, frequency, and significance of the work matter more than the label.

How to Register as a Foreign LLC in Florida

Three things need to be in place before you file:

  • A Certificate of Existence from the Delaware Secretary of State confirming your LLC is in good standing. It must be dated within 90 days of your Florida filing.1Florida Senate. Florida Code 605.0902 – Application for Certificate of Authority
  • A Florida registered agent, either a Florida resident or a business authorized to operate in the state. The agent needs a physical Florida street address; a P.O. box will not work.
  • Name availability confirmed through the Sunbiz database. If your Delaware name is taken in Florida or does not meet Florida naming rules, you will have to adopt an alternate name for use in the state.

The total filing fee is $125: $100 for the application and $25 for the registered agent designation.4Florida Department of State. LLC Fees Online filing is the fastest option. Once the Division of Corporations approves the application, it issues the Certificate of Authority.

Florida Tax Registrations Are Separate

The Certificate of Authority handles your legal right to operate. It does not register you for any tax. Which Florida taxes apply depends on how your LLC is structured and what it actually does in the state.

Corporate Income Tax

Florida imposes a 5.5% corporate income tax on net income, but only on LLCs classified as corporations for both federal and Florida purposes.5Florida Department of Revenue. The first $50,000 of Florida net income is exempt.

A single-member LLC that is disregarded for federal purposes does not file its own Florida corporate return. If a corporation owns that disregarded LLC, though, the corporate owner reports the LLC’s income on its Florida return.6Florida Department of Revenue. Instructions for Preparing Form F-1120

A multi-member LLC taxed as a partnership must file a Florida Partnership Information Return (Form F-1065) if any partner is a corporation subject to Florida corporate income tax.7Florida Department of Revenue. Instructions for Preparing Form F-1065 Florida has no personal income tax, so individual members of a pass-through LLC do not owe state tax on their shares.

Sales and Use Tax

If your LLC sells tangible goods or provides taxable services in Florida, you must register with the Florida Department of Revenue before making any taxable sales. Registration uses the Florida Business Tax Application (Form DR-1), online or on paper.8Florida Department of Revenue. The state sales tax rate is 6%.9Florida Department of Revenue. Florida Sales and Use Tax Most counties add a discretionary surtax on top. You collect the combined rate from customers and remit it to the Department of Revenue. Missing this step exposes the LLC to penalties, interest, and potential personal liability for managers.

Reemployment Tax

If anyone performs services for your LLC in Florida as an employee, you must register for Florida Reemployment Tax, which funds unemployment insurance. New employers start at a 2.7% rate on the first $7,000 of each employee’s annual wages.10Florida Department of Revenue. Staying in Good Standing in Both States

Registering in Florida does not release you from your Delaware obligations. Florida requires your LLC to remain in good standing in its home state, and losing that status back in Delaware can put your Florida authority at risk.

Delaware LLCs owe a flat $300 annual franchise tax, due by June 1 each year for the prior calendar year. Miss the deadline and Delaware adds a $200 late penalty plus 1.5% monthly interest.11Delaware Division of Corporations. In Florida, every foreign LLC must file an annual report with the Division of Corporations between January 1 and May 1.12Florida Division of Corporations. LLC Fees Miss May 1 and Florida adds a $400 late fee automatically, taking the total to $538.75, with no provision for waiver.13Florida Division of Corporations. The registered agent has to stay current too. Any change in the agent’s name or address must be updated with the Division of Corporations. A missing or invalid registered agent is grounds for revocation.

What Happens If You Skip Registration

Florida imposes a civil penalty of $500 to $1,000 for each year (or partial year) your LLC transacted business without a Certificate of Authority. The bigger practical problem is court access. An unregistered foreign LLC cannot start a lawsuit or any legal proceeding in Florida. You cannot sue to enforce a contract, collect a debt, or pursue a claim arising from your Florida operations until you obtain the Certificate and clear all back fees and penalties. Your contracts remain valid, and you can defend yourself if you get sued, but you cannot go on offense.14Florida Senate. Florida Code 605.0904 – Effect of Failure to Have Certificate of Authority

One boundary worth naming, because people assume the opposite: operating without a Certificate of Authority does not, by itself, expose members or managers to personal liability for the LLC’s debts. Florida’s statute explicitly says members and managers are not liable solely because the LLC failed to register.14Florida Senate.
