If you lost money in a Delaware Statutory Trust, a lawsuit against the sponsor is only one of two routes, and usually the less productive one. Investors are pursuing sponsor fraud claims in court and, more often, FINRA arbitration claims against the broker-dealers who sold them the DST in the first place. When a sponsor files for bankruptcy, the arbitration route against the brokerage is typically where recovery actually happens.
The Active Sponsor Cases
The largest active DST fraud case involves Crew Enterprises, formerly known as Versity Investments, and its principals. Plaintiffs KHCA Funding LLC and Knights Hill Ireland II DAC allege that Crew Enterprises and executives Blake Wettengel, Tanya Muro, and Brian Nelson misappropriated more than $56 million in investor proceeds.1KlaymanToskes. Versity Investments Crew Enterprises Investor Loss Investigation The complaint alleges fraud, breach of contract, unjust enrichment, conversion, and civil conspiracy, claiming the defendants diverted investor capital meant for specific real estate assets to finance unrelated deals and personal expenses. Specific DST entities named include the Hayworth Tanglewood DST and One on 4th DST, along with Versity EquityCo LLC, Vintage DST, and The Walk DST.2Investor Claims. Versity Investments Crew Enterprises 56M Fraud Lawsuit The case remains active with no final court determination. Separately, Crew Enterprises received a $47 million judgment against it on July 17, 2025 for breaching obligations owed to a lender.
Related trusts have collapsed into bankruptcy. NB Flats DST, launched in 2017 with an offering size of about $3.5 million, filed Chapter 11 on April 16, 2024. That case converted to Chapter 7 liquidation on February 19, 2025.3KlaymanToskes. The NP Skyloft DST, which targeted a $75 million raise for student housing in Austin, Texas, stopped paying monthly dividends in April 2020. Investors accused sponsor Patrick Nelson of running what they called a Ponzi scheme after a preferred equity provider sold the property in December 2020, rendering investor interests worthless. A federal securities class action was dismissed in September 2021 by Judge Consuelo B. Marshall, and the plaintiff voluntarily dropped the appeal in July 2022.6Stanford Law School Securities Class Action Clearinghouse. Investors in that settlement are expected to recover roughly 55% of their investment as the DST dissolves and assets move to a liquidating trust.7Rex Securities Law. Why FINRA Arbitration Is Usually the Real Path
Bankrupt sponsors typically have no money to pay investors, and the automatic bankruptcy stay blocks direct suits against them anyway. What Arbitration Claims Against Brokerages Allege
The claims filed against broker-dealers over DST sales tend to cluster around the same set of theories:
- Unsuitable recommendations: selling high-risk, illiquid products to investors whose finances or risk tolerance made them inappropriate candidates.
- Misrepresentation and omission: downplaying or failing to disclose risks including illiquidity, sponsor instability, fee structures, and the lack of investor control.
- Overconcentration: placing too large a share of an investor’s portfolio in illiquid alternatives.
- Due diligence failures: not adequately investigating the DST sponsor’s financial condition and track record before recommending the product.
- Failure to supervise: brokerage firms lacking systems to catch brokers making unsuitable or improper recommendations.
A recent Florida claim illustrates the pattern. A retiree is seeking up to $500,000 in damages from Realta Equities, Inc. over an allegedly unsuitable DST investment tied to Versity Investments and Crew Enterprises, alleging violations of Regulation Best Interest and fiduciary duties. Realta Equities Lawsuit Highlights Concerns Over DST Investments and Suitability Practices The SEC settled its own enforcement action against Emerson Equity LLC in August 2025 for willful Regulation Best Interest violations, finding that Emerson failed to exercise reasonable diligence in evaluating whether speculative, illiquid bonds were suitable for customers often at or near retirement age. Emerson was censured, ordered to cease and desist, and required to pay a $100,000 civil penalty plus disgorgement.9U.S. Securities and Exchange Commission. Firms Named and How Long You Have to File
Broker-dealers identified across DST arbitration filings and investigations include Emerson Equity, Aurora Securities, Realta Equities (formerly Coastal Equities), Capulent, Dempsey Lord Smith, WealthForge Securities, Purshe Kaplan Sterling Investments, Cape Securities, and Westpark Capital, among others.10Investor Lawyers. The Structural Risks the Complaints Keep Citing
The grievances driving DST litigation reflect features built into the product. DST interests are not publicly traded, and investors typically cannot liquidate their positions for seven to ten years. Financial advisors selling DSTs often receive commissions of seven to ten percent, which critics say creates an inherent conflict of interest.12Investor Claims. DSTs must also comply with what the industry calls the “Seven Deadly Sins,” a set of IRS restrictions that prevent the trust from renegotiating loans, raising new capital, or reinvesting sale proceeds. These restrictions preserve the 1031 exchange tax benefits under IRS Revenue Ruling 2004-86, but they also leave a DST with almost no ability to adapt when market conditions change.12Investor Claims. When sponsors fail, investors have found themselves holding worthless interests in bankrupt trusts with no secondary market to sell into.
What the Law Lets You Do
Under the Delaware Statutory Trust Act, a statutory trust can sue and be sued in its own name, and the Delaware Court of Chancery has jurisdiction over DST matters to the same extent it has over common law trusts.14Delaware Code. The DSTA gives the governing instrument unusual latitude. Fiduciary duties of trustees and others can be expanded, restricted, or eliminated by the trust’s governing document, with one floor: the implied contractual covenant of good faith and fair dealing cannot be removed.16Justia. 12 Delaware Code Section 3806 The governing instrument can also restrict a beneficial owner’s right to bring derivative actions, a feature unique to the DSTA among Delaware’s business entity statutes.17Richards, Layton & Finger. DST interests are securities, so they fall under federal anti-fraud provisions including Section 10(b) of the Securities Exchange Act and Rule 10b-5. Most DST offerings are exempt from SEC registration under Regulation D, which limits participation primarily to accredited investors, though up to 35 non-accredited sophisticated investors can participate in a given offering.18Realized 1031.
