Delta Dental Lawsuit: Antitrust Ruling and State Class Actions

The Delta Dental lawsuit picture in mid-2026 involves three distinct fights: a federal antitrust class action by roughly 240,000 dentists that lost class certification in September 2025, four new state-court class actions filed by dentists in April 2026, and a separate patient class action over out-of-network reimbursement filed in late December 2025. None have settled. None have gone to trial.

The Federal Antitrust Case and Its September 2025 Setback

Approximately 240,000 dentists and dental practices sued Delta Dental in 2019, alleging violations of Section 1 of the Sherman Act. On September 22, 2025, U.S. District Judge Elaine E. Bucklo denied class certification. She ruled that the plaintiffs failed the “predominance” requirement under Federal Rule of Civil Procedure 23(b)(3), reasoning that because dental patients choose providers based on proximity to home or work, the relevant market is “inherently local” and class-wide proof of market power and injury was not possible.3A&O Shearman. Judge Bucklo also handed Delta Dental a doctrinal win. She held that the challenged practices, including exclusive service areas, pricing policies, and second-brand constraints, must be evaluated under the “rule of reason” rather than treated as automatically illegal under the per se standard, citing “plausible procompetitive benefits” such as network expansion into rural areas and efficient multi-state claims administration.3A&O Shearman. The plaintiffs sought immediate appellate review under Rule 23(f). The Seventh Circuit denied that request on December 10, 2025.4ADA News. What the Dentists Say Delta Dental Is Doing

The consolidated complaint describes what plaintiffs call a “multifaceted conspiracy” to exercise monopsony power against dental providers. The alleged conduct falls into three parts.

  • Market allocation. The 39 Delta Dental member companies allegedly divided the country into exclusive territories, agreeing not to compete in each other’s regions.6American Dental Association. Delta Dental Litigation Consolidated Amended Complaint
  • Price fixing. Member companies allegedly coordinated to set reimbursement rates at artificially low levels by sharing pricing data through the Delta Dental Plans Association, described in the complaint as the “administrator and watchdog” for the arrangement.7FindLaw.   • Revenue restrictions. The Delta Dental Plan Agreement allegedly caps how much business member companies can generate under non-Delta-branded insurance products, preventing them from competing with one another under other names.6American Dental Association. Plaintiffs allege the savings from suppressed provider rates were not passed to consumers as lower premiums but instead used to fund large executive salaries and build capital reserves.7FindLaw. In Re Delta Dental Antitrust Litigation

Delta Dental’s Response

Delta Dental has contested the claims throughout. It argues its territorial agreements are lawful “ancillary restraints” that help it compete against national insurers and reach rural markets, and that dental insurance is a two-sided platform for which a per se rule is inappropriate under Ohio v. American Express.7FindLaw. In Re Delta Dental Antitrust Litigation The company denied that its member companies are required to follow set reimbursement rates and called the plaintiffs’ market-share figures “wildly inaccurate.”8Georgia Dental Association. Delta Antitrust Litigation It also said lower reimbursement rates benefit consumers through reduced premiums and out-of-pocket costs.

The Four State-Court Class Actions Filed in April 2026

With the federal class action stalled, dentists opened a second front. On April 30, 2026, plaintiffs filed class actions against Delta Dental entities in California, Wisconsin, Michigan, and Massachusetts.5ADA News. Dentists File Class Action Lawsuits Against Delta Dental in Four States The complaints track the federal allegations: territorial agreements that eliminate competition, coordinated suppression of reimbursement, and shared pricing information among Delta Dental member companies.

The California case was filed in Los Angeles County Superior Court and names Delta Dental of California and the Delta Dental Plans Association, alleging violations of state antitrust laws and the Unfair Business Practices Act.9California Dental Association. The Patient Lawsuit Over Out-of-Network Coverage

On December 31, 2025, plaintiff Kevin Walsh filed a class action, Walsh v. Delta Dental Plans Association, et al., Case No. 1:25-cv-10801, in the U.S. District Court for the Southern District of New York.11Top Class Actions. Walsh alleges Delta Dental tells policyholders their plans cover 50% to 100% of out-of-network dental costs but calculates reimbursement using a proprietary internal pricing schedule that is typically far below what the dentist actually charges, leaving patients paying more out of pocket than they expected.12ADA News. Unlike the dentist cases, Walsh’s claims arise under the Employee Retirement Income Security Act, alleging breach of fiduciary duty and improper denial of benefits. He seeks a jury trial, injunctive and declaratory relief, and compensatory and punitive damages on behalf of a proposed nationwide class of Delta Dental members.13TDMR. California: A Separate Fight Over Fee Cuts

The California Dental Association is running a distinct case. In January 2023, the CDA sued in San Francisco Superior Court over contract amendments that Delta Dental of California implemented on January 1, 2023, which the CDA said cut reimbursement rates by 20% to 40% for specialists including oral surgeons, endodontists, and periodontists while adding administrative burdens.14DrBicuspid. A trial court dismissed the case in May 2024, ruling that Delta Dental’s officers and directors had “unrestrained discretion” to modify contract terms and owed no fiduciary duties to participating dentists. The CDA appealed. On October 10, 2025, the California Court of Appeal affirmed the dismissal, holding that Delta Dental did not breach the implied covenant of good faith and fair dealing because the contracts and a 2018 settlement expressly authorized unilateral fee changes with 120 days’ notice. Separately, on June 1, 2026, the California Joint Legislative Audit Committee unanimously approved an audit of the state Department of Human Resources’ dental benefits procurement and its Delta Dental contract, which has been in place since 1984. Proposed by Sen. Dave Cortese, the review will examine bid solicitation, rate verification, five years of enrollment and usage data, and whether the contract terms should be renegotiated. What This Means for Individual Dentists

Individual dentists can still pursue antitrust claims against Delta Dental on their own, but the statute of limitations, which had been paused while class certification was pending, has resumed running.
