When the Report Is Due

If your LLC was formed or registered during 2025, you skip that year and file your first report in 2026. What the Annual Report Asks For

  • Your LLC’s exact registered business name
  • The entity number assigned by the Department of State (searchable through the state’s online business search)
  • The registered office address where the LLC can receive legal documents
  • The principal office address where the LLC actually does business
  • At least one governor—for an LLC, this means a manager (if manager-managed) or a member who participates in management (if member-managed)

Your registered office has to be a physical street address or rural route box number in Pennsylvania. A PO box alone will not do. If your LLC has no Pennsylvania location, you can list a Commercial Registered Office Provider (CROP) instead. How to File and What It Costs

You can also mail a paper form to the Bureau of Corporations and Charitable Organizations in Harrisburg with a $7 check or money order. Paper filings are date-stamped on receipt and returned by mail after processing.

The annual report can also update your registered office address at no additional charge. Outside the annual cycle, a standalone change-of-address filing runs $5.

What Happens If You Miss the Deadline

There is no separate late fee between a missed September 30 deadline and administrative dissolution. What you face instead is the dissolution process itself. The Department must give you at least 60 days’ notice before dissolving an LLC for a missed annual report.4Pennsylvania General Assembly. Administrative dissolution ends your LLC’s authorization to do business in Pennsylvania. Its legal standing and the liability shield that comes with it are effectively suspended. The state also releases the LLC’s name, and any other entity can then register it. If that happens, you will need a new name when you come back.

Reinstating a Dissolved LLC

For a domestic LLC, reinstatement is retroactive to the date of dissolution and the LLC keeps its original entity number. Two limits apply: you cannot reclaim your name if someone else registered it while you were dissolved, and anyone who reasonably relied on the dissolution is protected.

Foreign LLCs Are Treated Differently

If your LLC was formed in another state and registered to do business in Pennsylvania, a terminated registration cannot be reinstated retroactively. You have to file a brand-new Foreign Registration Statement, and the LLC receives a new entity number.
