Who Qualifies for a Payment

The settlement class includes anyone who purchased or otherwise acquired F45 Training Holdings publicly traded common stock (ticker FXLV) between July 15, 2021 and August 14, 2023 and suffered a loss. The claim form deadline is August 1, 2026. Have your brokerage records for the class period ready, including purchase dates, sale dates, share counts, and prices. The administrator uses that information to calculate your recognized loss under the plan of allocation.

What You Can Expect to Receive

Payouts will be modest. Settlement notices estimate a gross recovery of roughly $0.06 per damaged share, and about $0.04 per share after attorneys’ fees and litigation costs are deducted.3Strategic Claims Services. F45 Settlement Notice

Distributions are pro rata. Your share depends on how many valid claims come in, how many shares you bought, and when you bought and sold them during the class period. If your calculated payment works out to less than $10, no check will be issued.4ClaimDepot. F45 Securities Settlement

Lead counsel plans to request attorneys’ fees of up to 30 percent of the fund, or as much as $3.15 million, plus up to $200,000 in expenses. Judge David A. Ezra will rule on that request at the final hearing.4ClaimDepot. F45 Securities Settlement

If You Want to Object or Opt Out

The deadline to object to the settlement or to exclude yourself from the class is July 24, 2026.5Strategic Claims Services. Why the Case Was Brought

The consolidated action, In re F45 Training Holdings, Inc. On July 26, 2022, F45 issued a “Strategic Update” slashing revenue guidance from $255–$275 million to $120–$130 million, cutting projected new studio openings by 60 percent, and announcing that a previously touted $250 million franchisee credit line was unavailable. The CEO resigned and about 45 percent of the workforce was laid off. Shares fell from $3.51 to $1.35 in a single day, more than 78 percent below the $16 IPO price.7BusinessWire. What This Settlement Does Not Cover

This fund resolves only the federal securities claims brought on behalf of stock purchasers. It does not cover the separate breach-of-contract dispute David Beckham’s management company brought against F45, which settled in June 2024 on undisclosed terms.11Today.com.
