Florida Business Tax Registration and Entity Types: Form DR-1

The Florida Business Tax Application, Form DR-1, is the single form you file with the Florida Department of Revenue to open your state tax accounts before you sell, rent, hire, or otherwise begin operating. Online filing is free and typically processed within three business days. Paper filing to Tallahassee is available but slower. You’ll need your federal identification number, a NAICS code, owner details, and an estimate of your monthly tax liability before you start.

Who Has to File Form DR-1

Florida law requires registration before your first day as a dealer, not after. Under Section 212.18 of the Florida Statutes, that covers anyone who sells or leases tangible personal property at retail, rents short-term lodging such as hotels, vacation rentals, or RV parks, or charges admission fees.1Florida Senate. Vending machine and newspaper rack operators are the exception: one certificate per county.

You also file DR-1 if you owe use tax on goods bought from out-of-state vendors that didn’t charge Florida sales tax, if you hire employees and owe reemployment tax, or if you sell into Florida from out of state and exceeded $100,000 in taxable sales of tangible personal property the previous calendar year.2Florida Department of Revenue. Operating without a valid certificate is itself a violation, whether or not you’ve collected any tax.1Florida Senate. Florida Code 212.18 – Administration of Law; Powers of Department; DOR Agents

What to Gather Before You Start

Missing information is what stalls applications. Have these in hand:

  • Federal Employer Identification Number (FEIN). Required for partnerships, corporations, nonprofits, trusts, and estates.   • Your NAICS code. Look it up at census.gov/naics.
  • Your legal business name and any trade name (“doing business as”) registered with the Florida Division of Corporations.5Florida Department of Revenue. Registering Your Business – Florida Business Tax Application (Form DR-1N)
  • Names, home addresses, and identification numbers for all owners, partners, or corporate officers.
  • The date you started (or will start) doing business in Florida, and the month your fiscal year ends.
  • Your physical business address and, if different, a mailing address for tax correspondence.

Handle your fictitious name registration first if you’ll operate under a trade name. Florida’s Fictitious Name Act requires that filing with the Division of Corporations before you begin business, and skipping it is a second-degree misdemeanor.6Florida Department of State. The form itself walks you through a section for each tax type: sales tax, reemployment tax, solid waste fees, and others. You’ll estimate your anticipated monthly tax liability, which determines whether you file returns monthly, quarterly, or semiannually. You sign under penalty of perjury.

Choosing Your Entity Type on Form DR-1

Form DR-1 asks you to select one form of ownership, and the choice determines which state taxes apply.7Florida Department of Revenue. Florida Business Tax Application (Form DR-1)

  • Sole proprietorship. You and the business are the same tax entity. Use your SSN unless you have employees.
  • General or limited partnership. All general partners must be listed with their identification numbers and home addresses.
  • Corporation. You must specify C-corp or S-corp. A C-corp, or an LLC that has elected C-corp treatment federally, becomes subject to Florida’s corporate income tax when you submit DR-1, even though the corporate income tax has no separate registration step.8Florida Department of Revenue.   • Limited liability company. Indicate whether the IRS treats your LLC as a corporation or a partnership; that classification drives your Florida corporate income tax obligation.
  • Nonprofit corporation. Register on DR-1 for taxable activities. Qualifying nonprofits can separately apply for a Consumer’s Certificate of Exemption using Form DR-5 to make tax-free purchases for their own use.4Florida Department of Revenue. Nonprofit Organizations and Sales and Use Tax

The C-corp versus S-corp distinction matters because Florida imposes a 5.5% corporate income tax on C-corporations. S-corporations are generally exempt because income passes through to individual owners and Florida has no personal income tax.9Florida Department of Revenue. Tax and Interest Rates The first $50,000 of net income is exempt, so smaller C-corps may owe nothing.

Submitting the Form

Online submission through the Department of Revenue’s e-Services portal is free and the fastest route.8Florida Department of Revenue. Paper takes considerably longer. If you’re close to your opening date, online saves weeks.

What You Receive After Approval

Depending on what you registered for, the Department issues:

  • A Certificate of Registration for each business location. Florida law requires you to display it visibly at the business at all times, and it isn’t transferable — it’s valid only for the person or entity it names.1Florida Senate.   • An Annual Resale Certificate, if you registered for sales tax. It lets you buy inventory for resale without paying tax at purchase. It expires December 31 each year and renews automatically as long as your account stays active.11Florida Department of Revenue. Annual Resale Certificate for Sales Tax
  • A Reemployment Tax account number, if you registered as an employer.

Use the Annual Resale Certificate only for property or services you plan to resell or re-rent. Buying office furniture, supplies, or anything for your own use with it is a misuse that triggers use tax plus penalties. Keeping Your Registration Current

Notify the Department whenever you change your business name, mailing address, or location within the same county. Some changes require a fresh DR-1 rather than an update. File a new application if you:

  • Move your business from one Florida county to another
  • Add a new business location (the shorter Form DR-1A works for this)
  • Purchase or acquire an existing business
  • Change your form of ownership, such as converting a sole proprietorship into an LLC

If you acquire another business or ownership changes, you may also need Form RTS-1S to transfer reemployment tax experience rating records. That form is due within 90 days of the acquisition date when there’s no common ownership between the old and new businesses.5Florida Department of Revenue. When you close or sell, file a final return with any remaining tax, then surrender your original Certificate of Registration and Annual Resale Certificate. Certificates are canceled as of the date you stopped operating.12Florida Department of Revenue. You’ll still be expected to file returns, and missing them generates penalties even when no tax is owed.

Local Business Tax Receipts Are Separate

DR-1 covers state taxes only. Many Florida counties and municipalities also require a local business tax receipt (formerly called an occupational license) before you operate in their jurisdiction. It’s a separate application, with a separate fee that varies by location and business type. Local business tax receipts are a revenue measure rather than an occupational license, so cities and counties generally still require them even after the state’s 2021 preemption of occupational licensing.13Florida House of Representatives. What It Costs to Skip Registration

A dealer who fails to collect sales tax commits a first-degree misdemeanor. If the Department notifies you of your duty to collect and you still don’t, penalties scale with the uncollected amount:14The Florida Legislature.   • Less than $300: second-degree misdemeanor on a first offense, escalating to a third-degree felony on a third offense.
  • $300 to under $20,000: third-degree felony.
  • $20,000 to under $100,000: second-degree felony.
  • $100,000 or more: first-degree felony.

On top of criminal exposure, willful failure to collect after notice carries a civil penalty of 100% of the uncollected tax, meaning you’d owe double what you should have collected in the first place.14The Florida Legislature.
