When You Have to Register
Florida law says a foreign LLC “may not transact business in this state” until it holds a certificate of authority.2Online Sunshine. Florida Statutes 605.0902 – Application for Certificate of Authority The statute doesn’t draw a bright line around “transacting business,” but the practical triggers are the ones you’d expect: a Florida office, employees working in the state, or ongoing commercial activity here.

- Maintain a Florida bank account.
- Complete an isolated transaction within 30 days that isn’t part of a pattern.
- Sell in Florida entirely through independent contractors.
- Passively own real estate or personal property in Florida.
- Conduct interstate commerce that runs through the state.
- Hold member or manager meetings, or handle securities transfers.
- Defend or settle a Florida lawsuit.
- Solicit orders from Florida customers when those orders have to be accepted in another state before becoming contracts.
These are safe harbors on their own. Stack several of them together, and the combined picture can start to look like active business even if no single item crosses the line.
What to File and What It Costs

- Your LLC’s legal name, or an alternate name if the legal one won’t work in Florida.
- The state or jurisdiction where the LLC was formed.
- Your principal office and mailing address.
- The name, Florida street address, and written acceptance of your initial Florida registered agent.
- The name, title, and address of at least one manager or authorized person.
You also have to attach a certificate of existence (some states call it a certificate of good standing) from your home state, signed by the appropriate official and dated within 90 days of when you deliver the Florida application. Naming Rules and the Alternate Name Option
Your name has to be distinguishable from other entities already on file with the Florida Department of State, and it must include “Limited Liability Company,” “L.L.C.,” or “LLC.”4Florida Department of State Division of Corporations. If your legal name is taken or doesn’t meet Florida’s rules, you don’t have to rename the LLC in your home state. You adopt an alternate name for Florida use and list it directly on the application.2Online Sunshine. The Registered Agent Requirement
Every foreign LLC with a Florida certificate of authority must keep both a registered office and a registered agent in the state at all times.7Online Sunshine. Florida Statutes 605.0113 – Registered Agent The agent accepts lawsuits, tax notices, and compliance mail for you and forwards them along.
The agent must be either a Florida resident whose business address matches the registered office, or a business entity authorized to do business in Florida with the same address match. The registered office has to be a street address; a P.O. box won’t do. The agent has to file a written statement accepting the appointment.7Online Sunshine. If you let this lapse, your LLC can’t file or defend lawsuits in Florida courts until you fix the problem, pay any outstanding fees, and potentially pay a penalty of up to $500.7Online Sunshine. Florida Statutes 605.0113 – Registered Agent
The Annual Report
Once registered, you file an annual report with the Division of Corporations every year between January 1 and May 1. Your first one is due during that window in the year after you get your certificate. Register in October 2026, and your first annual report is due by May 1, 2027.8Online Sunshine. The report is administrative, not financial. You confirm or update your principal address, registered agent details, and the names and addresses of managers or authorized persons. The fee is $138.75.5Florida Department of State. LLC Fees
Miss May 1 and a $400 late fee kicks in, bringing the total to $538.75.9Florida Department of State. File Annual Report Florida doesn’t grant extensions. Skip filing entirely and the state can revoke your certificate of authority, and once revoked you lose the ability to file or defend lawsuits in Florida until you’re back in good standing.8Online Sunshine. Tax Registrations Are Separate
Getting the certificate of authority handles the business-formation side. It does not register you for taxes. Depending on what you do in Florida, you may also need to register with the Florida Department of Revenue.10Florida Department of Revenue. - Sales and use tax, if you sell taxable goods or services in Florida. Common triggers are employees, an office, or inventory in the state.
- Corporate income tax, if your LLC is classified as a corporation for federal tax purposes. An LLC taxed as a partnership, or a single-member LLC treated as disregarded, generally doesn’t owe Florida corporate income tax on its own, though the income may flow through to a corporate owner that does.11Florida Department of Revenue. - Reemployment tax, Florida’s unemployment insurance tax, if you employ workers in the state.
Florida has no personal income tax, so a pass-through LLC without a corporate owner generally isn’t taxed on its income at the state level.
What Happens If You Don’t Register
The financial exposure has two layers. First, you owe every fee you would have paid if you had registered on time. Second, the state can impose civil penalties of at least $500 and up to $1,000 for each year, or partial year, you operated in Florida without authorization.1Florida Senate. The bigger practical hit is the courthouse door. A foreign LLC that transacts business in Florida without a certificate of authority cannot bring a lawsuit in any Florida court. You can’t enforce contracts, collect debts, or pursue claims in the state until you register and clear what you owe.1Florida Senate. Reinstating After Revocation
If your certificate gets revoked because you stopped filing annual reports, you apply for reinstatement through Sunbiz. The reinstatement fee is $100, plus $138.75 for each missed annual report.12Florida Department of State. Every day your certificate is revoked, your LLC is unauthorized to transact business in Florida and can’t maintain or defend suits in Florida courts. Filing the $138.75 annual report on time is the cheaper path by a wide margin.5Florida Department of State. LLC Fees
