Klein v. Greenbrook TMS: $800K Settlement and Promissory Note

Greenbrook TMS Inc. settled Benjamin Klein’s Delaware lawsuit in August 2024 by paying him $800,000 in cash, transferring its 12 New Jersey transcranial magnetic stimulation treatment centers to him, and covering roughly $110,655 in outstanding payroll taxes. How the Dispute Started

Klein founded his first TMS clinic in Florida in 2018 and grew it into a chain operating as Success TMS.2BusinessWire. What Klein Alleged in Delaware

Later that same month, Klein and several associated entities, including Success Behavioral Holdings and Theragroup LLC, filed suit in the Superior Court of Delaware against Greenbrook, its subsidiary TMS NeuroHealth Centers, and certain executives. Terms Beyond the Money

Neither party admitted liability. All claims, counterclaims, and appeals were dismissed with prejudice, and the parties signed mutual releases.1PR Newswire. The installment structure had teeth. If Greenbrook missed a payment and failed to cure the default, Klein could enforce a consent judgment for the remaining balance plus 5% annual interest and legal fees.5Board Room Alpha. Greenbrook TMS Settlement Agreement and Release

The Separate Promissory Note Case

The Delaware fraud suit was not Klein’s only litigation against Greenbrook, and the two matters are easy to confuse. In April 2023, Batya Klein, as trustee of a trust connected to Kenneth S. Klein, filed a breach-of-contract complaint in the Superior Court of New Jersey (Bergen County) over a promissory note worth about $2.09 million issued as part of the Success TMS deal. What Happened to Greenbrook After the Settlement

The company was already in serious trouble when the Klein deal closed. Greenbrook was delisted from Nasdaq in February 2024 after its share price fell below $1 and its market value dropped under $35 million.9Behavioral Health Business. On December 10, 2024, Neuronetics, the manufacturer of the NeuroStar TMS device used in Greenbrook’s clinics, completed its acquisition of Greenbrook through a court-approved plan of arrangement under Ontario’s Business Corporations Act.
