The Sutter Health premium lawsuit is a federal antitrust class action, Sidibe v. Sutter Health, that ended in a $228.5 million settlement approved on November 6, 2025. What the Lawsuit Was About
Filed in September 2012, the case accused Sutter Health, the dominant hospital system across Northern California, of using its market power to force insurers into contract terms that inflated premiums. Three practices sat at the center of the complaint: “all-or-nothing” bundling that required insurers to include every Sutter facility in-network, anti-tiering and anti-steering clauses that blocked insurers from steering patients to cheaper providers, and gag clauses that kept Sutter’s negotiated prices hidden from self-funded employers and patients.3California Office of the Attorney General. Plaintiffs argued that because certain Sutter hospitals were “must-haves” for any viable network, insurers accepted the bundled terms and passed the higher costs to customers.4Milbank Memorial Fund. Who Qualifies for the Settlement
You are in the class if you paid premiums for a fully insured health plan through one of the five named insurers (Aetna, Anthem Blue Cross, Blue Shield of California, Health Net, or United Healthcare) at any point between January 1, 2011, and March 8, 2021, while living or working in one of 38 specified Northern California counties. The eligible counties run from the Bay Area and Sacramento Valley up to the Oregon border, and include Alameda, Contra Costa, Marin, Sacramento, San Francisco, San Mateo, and Sonoma, among others.5Sutter Health Premium Lawsuit. Several groups are excluded: people who held only self-funded insurance policies, federal government employees during the relevant period, individuals whose inpatient care was paid by Medicare or Medi-Cal, and anyone who opted out of the class by the March 8, 2021, deadline.1Sutter Health Premium Lawsuit. How Much You Can Expect
Payments are not flat amounts. Each approved claim gets a share of the net settlement fund proportional to what the claimant paid in premiums. The formula divides your estimated total premiums by the estimated total premiums of all claimants, then multiplies that fraction by the dollars remaining after fees, expenses, and administrative costs.2Sutter Health Premium Lawsuit. For group plans where employers and employees split the premium, a default split applies unless the claimant documented otherwise: 18% employee / 82% employer for single coverage, and 29% employee / 71% employer for family coverage, based on Kaiser Family Foundation benchmarks. The total fund is $228.5 million. The court approved $75.4 million in attorney fees and $28.1 million in litigation expenses, together about $103.5 million, along with service awards of $20,000 to each of the three named plaintiffs who testified at trial and $15,000 to each of the other three.7Constantine Cannon LLP. How the Case Got to a Settlement
A four-week jury trial before U.S. Magistrate Judge Laurel Beeler in early 2022 ended in a defense verdict on the Cartwright Act tying and course-of-conduct claims. Plaintiffs appealed.8United States Court of Appeals for the Ninth Circuit. Sidibe v. Sutter Health, No. 22-15634
On June 4, 2024, the Ninth Circuit reversed the verdict and ordered a new trial. The panel held that the trial court had misstated California antitrust law by removing “purpose” from the jury instructions and had abused its discretion by excluding pre-2006 evidence, including a 1998 internal memo by Sutter’s CFO estimating that systemwide contracting could generate $198 million per year in additional revenue.8United States Court of Appeals for the Ninth Circuit. This Is Not the State Attorney General Settlement
A separate case brought by California Attorney General Xavier Becerra in March 2018, consolidated with a private action by the United Food and Commercial Workers International Union and Employers Benefit Trust, ended in a $575 million settlement approved on August 27, 2021.9Cohen Milstein Sellers & Toll PLLC. Sutter Health That deal compensated self-funded employers and union trusts and imposed injunctive relief requiring Sutter to end all-or-nothing contracting, drop anti-tiering and anti-steering clauses, offer standalone prices for bundled services, limit out-of-network charges, and allow insurers to share pricing with plan members, all overseen by a court-appointed compliance monitor for at least ten years.4Milbank Memorial Fund. The two settlements cover different groups. If you were covered only under a self-funded employer plan, you were not part of the $228.5 million federal settlement, and any recovery on your behalf would have come through the state case.
